Dualy Creator Terms & Conditions

The binding contract between you and Dualy LLC governing your participation in the Dualy Creator Program

Please read these Terms & Conditions carefully. They form a binding legal agreement (the "Agreement") between you ("Creator," "you," or "your") and Dualy LLC, a subsidiary of Groopview Inc. ("Dualy," "we," "us," or "our"). By applying to, enrolling in, or participating in the Dualy Creator Program (the "Creator Program"), you agree to be bound by this Agreement, the Dualy Creator Code of Conduct, and our general Terms of Service and Privacy Policy, each incorporated here by reference.

1. Enrollment

1.1 Eligibility Requirements

To enroll in the Creator Program, you must:

  • Hold a valid, active Dualy user account in good standing;
  • Provide accurate, complete, and current registration information, including legal name, government-issued identification, tax residency, and payout details;
  • Reside in a jurisdiction where Dualy's Creator Program is available and where receipt of payments from Dualy is lawful;
  • Not be listed on any government sanctions, denied-party, or export-control list applicable to Dualy or its payment processors; and
  • Not have been previously removed from the Creator Program for cause, unless expressly reinstated in writing by Dualy.

1.2 Age Requirements

You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction of residence if higher, to enroll as a Creator. Dualy does not knowingly enroll minors in the Creator Program under any circumstances, regardless of parental or guardian consent. If Dualy discovers that a Creator account was enrolled by, or is being used by, a person under this minimum age, Dualy will immediately suspend the account, withhold any pending payouts, and remove associated content, without prejudice to any other rights or remedies available to Dualy.

1.3 Identity Verification (KYC)

Before your first payout and periodically thereafter, you must complete identity verification ("Know Your Customer" or "KYC") through Dualy's designated verification and payment partners. This may require government-issued photo identification, a live selfie or video check, proof of address, and, where applicable, business formation documents and beneficial ownership information. Dualy may decline to enroll, may suspend, or may withhold payouts to any applicant or Creator who fails, delays, or refuses to complete KYC, or whose verification indicates fraud, identity mismatch, or sanctions exposure. Verification is also a continuing obligation: Dualy may require re-verification at any time, including in connection with anti-money-laundering (AML) obligations imposed on Dualy's payment processors. Identity verification under this Section 1.3 is required only to host paid, monetized sessions; users of Dualy's free tier who do not enable monetization are not required to complete ID verification, but remain subject to Section 9 (Community Standards & Acceptable Use Policy) and the enforcement measures in Section 10.

1.4 Acceptance into the Creator Program

Submission of an application does not guarantee acceptance. Dualy reviews applications at its sole discretion and may approve, deny, waitlist, or condition acceptance on additional requirements (such as a minimum follower count, content samples, or a probationary period). Dualy may revoke acceptance at any time prior to a Creator's first monetized session if it later discovers information that would have disqualified the applicant.

2. Creator Account

2.1 Account Ownership

Your Creator account is personal to you and may not be sold, transferred, assigned, gifted, or sublicensed to any other individual or entity without Dualy's prior written consent. If you operate as, or through, a loan-out company, agency, or other legal entity, that entity's authorized signatory must separately agree to this Agreement, and you remain personally responsible for compliance.

2.2 Security Responsibilities

You are solely responsible for maintaining the confidentiality of your login credentials, two-factor authentication methods, and any API keys or integrations connected to your account. You must notify Dualy immediately at security@dualy.com upon discovering any unauthorized access, suspected compromise, or loss of control of your account. You are responsible for all activity that occurs under your account prior to such notice, except to the extent caused by Dualy's gross negligence or willful misconduct.

2.3 One Account Per Creator

Each Creator may maintain only one active Creator account, except where Dualy expressly approves multiple accounts in writing (for example, distinct accounts for a group act or verified brand). Operating undisclosed duplicate accounts to evade suspension, manipulate earnings, or circumvent platform limits is a material breach of this Agreement and grounds for immediate termination of all associated accounts.

2.4 Accurate Profile Information

You agree to keep your public profile, biography, pricing, availability, and payout information accurate and up to date. Misrepresenting your identity, credentials, affiliations, or the nature of the content or experiences you offer is prohibited and may result in suspension.

3. Monetization

Dualy offers Creators multiple ways to earn on the platform (collectively, the "Monetization Features"). Dualy may add, modify, or retire Monetization Features from time to time, with notice as described in Section 13.

3.1 Ticketed Rooms™

Ticketed Rooms™ allow Creators to host paid, live, interactive sessions and sell tickets in advance or at the door. Ticketed Rooms features may include the Core Room, the Red Carpet Waiting Line™, Lock/Unlock Rotating Co-Host controls, Golden Ticket upgrades, Sponsored Seats, in-room Dualy Shopping, the AI Highlight Generator, VIP Private After Party access, a live Room Earnings Display, and Live Broadcast Viewer participation. Creators are responsible for accurately describing what a ticket includes and for delivering the session substantially as advertised.

3.2 Creator Subscriptions

Creators may offer recurring paid subscriptions that grant fans ongoing access to designated content, community spaces, or benefits defined by the Creator. Subscription pricing tiers, benefits, and cancellation terms must be clearly disclosed to fans before purchase. Fans may cancel a subscription at any time effective at the end of the then-current billing period; Dualy does not guarantee refunds for partial periods except as required by law or Section 5.

3.3 Tips & Gifts

Fans may send Creators one-time monetary tips or virtual gifts (including gifts purchased with Dualy Coins) during live sessions, on posted content, or via direct message where enabled. Tips and gifts are voluntary, non-refundable except as described in Section 5, and are not payment for any specific promised deliverable unless separately agreed.

3.4 Creator Sticker Marketplace

The Creator Marketplace allows Creators to list and sell digital or physical goods, shout-outs, personalized content, merchandise, and other offerings to fans. Creators are solely responsible for the legality, description accuracy, fulfillment, and quality of Marketplace listings, and for any consumer-protection or product-liability obligations that arise from selling such goods, in addition to Dualy's own marketplace policies.

3.5 Future Monetization Features

Dualy may introduce additional Monetization Features from time to time (for example, brand sponsorship placements, VOD advertising revenue share, or new virtual-goods formats). Use of any new Monetization Feature will be governed by this Agreement together with any supplemental terms Dualy posts for that feature, which will be incorporated by reference upon your first use of the feature.

4. Earnings

4.1 Revenue Share

Unless otherwise stated in supplemental terms for a specific Monetization Feature or a separately negotiated partnership agreement, Creators retain seventy percent (70%) of Gross Creator Revenue, and Dualy retains thirty percent (30%) as its platform fee. "Gross Creator Revenue" means the amount paid by a fan for a ticket, subscription, tip, gift, or Marketplace item, before deduction of payment-processing fees, taxes, chargebacks, and refunds, which are addressed separately below.

4.2 Platform Fees

The platform fee described in Section 4.1 compensates Dualy for hosting, distribution, discovery, payment processing infrastructure, trust & safety operations, and customer support. Where Dualy's Creator Affiliate Program applies, an additional referral share (currently up to ten percent (10%) of Dualy's platform fee) may be paid to a referring Creator or partner rather than deducted from your share; affiliate payouts do not reduce the Creator's 70% share described above.

4.3 Payment Schedule

Dualy calculates and reconciles Creator earnings on a rolling basis and disburses payouts on a regular payout cycle (currently monthly, subject to change with notice under Section 13). Payouts are made to the verified payment method on file. Processing times vary by payout method, region, and financial institution and are not guaranteed by Dualy.

4.4 Minimum Payout Threshold

A minimum accrued balance (currently $25.00 USD, or the local-currency equivalent) is required before funds are released in a given payout cycle. Balances below the threshold roll over automatically to the next cycle. Dualy may adjust the threshold with notice under Section 13.

4.5 Taxes

Creators are independent earners, not employees of Dualy or Groopview Inc., and are solely responsible for determining and paying all applicable income, self-employment, sales, use, value-added, and other taxes arising from their earnings on Dualy. Dualy may be required to collect tax identification information (such as a Form W-9 or W-8, or local equivalent) and to file information returns (such as Form 1099-NEC/1099-K in the United States) reflecting your earnings, and may withhold amounts required by law where valid tax documentation is not on file.

4.6 Chargebacks

If a fan's payment is reversed, disputed, or charged back by their financial institution after a Creator has already been paid or credited for it, Dualy may deduct the disputed amount, plus any chargeback fee imposed by Dualy's payment processor, from the Creator's future earnings or existing balance. Creators agree to cooperate in good faith with any chargeback investigation and to provide reasonable evidence of service delivery on request.

4.7 Refund Deductions

Where Dualy issues a refund to a fan under Section 5, the corresponding Creator earnings for that transaction will be reversed or deducted from the Creator's balance. If the balance is insufficient, the deduction may be applied against future earnings.

5. Refund Policy

5.1 User Refunds

Fans may request a refund within a reasonable period after purchase (currently 48 hours for undelivered or materially misrepresented tickets, subscriptions, or Marketplace items). Dualy reviews refund requests based on delivery records, session recordings or logs where available, and the Creator's response.

5.2 No-Show Refunds

If a Creator fails to host a scheduled Ticketed Room within the grace period defined in the Creator Code of Conduct, all ticket holders for that session are entitled to a full refund, and the associated Creator earnings will not be released or will be reversed under Section 4.7. Repeated no-shows are additionally subject to enforcement action under Section 10 and the Code of Conduct's strike policy.

5.3 Fraudulent Purchases

Purchases identified as fraudulent, made with stolen payment credentials, or made in violation of Dualy's Terms of Service are subject to reversal regardless of whether the associated content or session was delivered, and the corresponding Creator earnings may be withheld or clawed back.

5.4 Dualy's Right to Issue Refunds

Dualy may, at its reasonable discretion, issue a full or partial refund to a fan even absent a formal request, including where Dualy determines a session was materially defective, where required by applicable consumer protection law, or where necessary to resolve a payment-processor dispute. Dualy will make commercially reasonable efforts to notify the affected Creator when a discretionary refund materially affects their earnings.

6. Creator Content

6.1 Creator Owns Their Content

As between you and Dualy, you retain all right, title, and interest in and to the video, audio, images, text, and other materials you create, upload, or perform on Dualy ("Creator Content"), subject to the license granted below and any rights of third parties embedded in that content.

6.2 License Granted to Dualy

You grant Dualy a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, distribute, publicly perform, publicly display, promote, and create derivative works (such as clips, highlights, and thumbnails, including through the AI Highlight Generator) from your Creator Content, solely for the purposes of operating, marketing, and improving Dualy and the Creator Program. This license survives for so long as the content remains on Dualy's systems, including in backups and archives maintained in the ordinary course, and continues for previously promoted or distributed derivative works after account closure to the extent reasonably necessary to honor commitments made before closure.

6.3 Promotional Rights

You agree that Dualy may use your name, likeness, voice, profile image, and short excerpts of your Creator Content in Dualy's own marketing, social media, app-store listings, press materials, and investor or partner communications, including materials referencing patented Dualy technology and the "Get Paid Before You Go Viral™" platform. You may opt out of specific promotional uses (other than incidental in-product placements, such as appearing in your own room) by written request to creators@dualy.com, which Dualy will honor for future uses on a commercially reasonable timeline.

6.4 Recording Rights

Dualy may record and retain Ticketed Rooms and other live sessions for trust & safety review, dispute resolution, quality assurance, and (where the Creator has enabled it) for VOD, replay, or highlight monetization features. Creators must disclose to fans, where required by applicable law, that a session may be recorded. Creators may not covertly record or redistribute private fan interactions outside the platform in violation of fan privacy rights or Section 8.

7. Intellectual Property

7.1 Copyright

Creators represent and warrant that they own or have obtained all necessary rights, licenses, and clearances for any music, video, images, or other third-party material used in their Creator Content, and that such use does not infringe any third party's copyright.

7.2 Trademark

The Dualy name, logo, "See What I See™," "Get Paid Before You Go Viral™," Ticketed Rooms™, and related marks are trademarks of Groopview Inc. and/or its subsidiaries. Creators may reference their participation on Dualy truthfully (for example, "Join my Ticketed Room on Dualy") but may not imply endorsement, co-ownership, or a partnership beyond what has been separately agreed in writing, and may not use Dualy marks in a way that is confusing, disparaging, or misleading.

7.3 DMCA Procedures

Dualy responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA) and comparable international frameworks. Rights holders may submit a takedown notice to dmca@dualy.com containing the information required under 17 U.S.C. § 512(c)(3). Creators who receive a valid takedown notice may submit a counter-notice as permitted by law. Dualy maintains a repeat-infringer policy and will terminate the accounts of Creators found to be repeat infringers.

7.4 Third-Party Rights

Creators are solely responsible for obtaining any consents, releases, or clearances required from co-hosts, guests, or other individuals featured in Creator Content, and for complying with any applicable rights-of-publicity or personality-rights laws in their jurisdiction.

8. Privacy

8.1 User Privacy

Creators must respect the privacy of fans and other users at all times, including by not screen-recording, downloading, or redistributing private messages, payment information, or personal details shared by fans in confidence, except as permitted under Section 6.4 or required by law.

8.2 Data Handling

Dualy processes Creator and fan personal data in accordance with its Privacy Policy, incorporated by reference. Creators who receive fan contact information through Dualy (for example, shipping addresses for Marketplace fulfillment) may use it solely to fulfill the applicable transaction and may not add fans to external marketing lists without separate, affirmative consent.

8.3 Confidential Information

Each party agrees to protect the other's non-public business information (including, for Dualy, unreleased features, pricing algorithms, and analytics dashboards; and for Creators, unreleased content plans shared with Dualy staff) using reasonable care, and to use it only for purposes of the parties' relationship under this Agreement.

9. Community Standards & Acceptable Use Policy

9.1 Code of Conduct

Compliance with the Dualy Creator Code of Conduct (the "Code of Conduct") is a condition of participating in, and remaining in, the Creator Program. The Code of Conduct is incorporated into this Agreement by reference and may be updated by Dualy from time to time consistent with Section 13. A violation of the Code of Conduct is a violation of this Agreement and may result in enforcement action under Section 10, including under the strike policy set out in the Code of Conduct.

9.2 Prohibited Monetization Categories

Dualy strictly prohibits Creators from monetizing, posting, or distributing content that falls into any of the categories described in Sections 9.3 through 9.5, through any Dualy feature, including Ticketed Rooms, Creator Subscriptions, Tips & Gifts, the Creator Marketplace, and direct messages. This Acceptable Use Policy applies in addition to, and is enforced together with, the Code of Conduct referenced in Section 9.1.

9.3 Adult Content and Services

Creators may not monetize, post, sell, or offer content that contains nudity or explicit sexual acts. This includes, without limitation, subscriber-only nude images, adult audio or video live chat, sexually explicit performances in Ticketed Rooms, and any service arranging or facilitating sexual content or activity, whether offered through Monetization Features or direct messages.

9.4 Intellectual Property, Proprietary Rights & Copyright Infringement

Creators may not monetize, upload, or distribute content that infringes the intellectual property or other proprietary rights of any third party, including trademarks, trade secrets, rights of publicity, and patents, consistent with the representations in Section 7.1. This includes copyright-infringing content, such as leaked or unauthorized music albums, unlicensed video or audio recordings, pirated software, or any other copyrighted work used without the rights holder’s authorization. Dualy’s DMCA procedures under Section 7.3 apply to violations of this Section 9.4.

9.5 Violent Extremism & Hate Speech

Creators may not engage in, encourage, promote, or celebrate unlawful violence or violent extremism. Creators may not post or monetize hate speech directed at any individual or group on the basis of race, religion, disability, gender, sexual orientation, national origin, or any other immutable characteristic.

9.6 Enforcement of this Policy

Violations of Sections 9.2 through 9.5 are treated as material violations of this Agreement and may result in content removal, suspension or termination of monetization privileges, permanent removal from the Creator Program under Section 10, forfeiture of earnings tied directly to the violation under Section 10.3, and are subject to the strike escalation set out in Section 10.4. Dualy reserves the right to proactively review, screen, or remove content and to cooperate with law enforcement and payment-processor compliance requirements, and will refer matters to law enforcement where required by law.

9.7 Proactive Content Moderation

Dualy content is created exclusively through live sessions; Creators have no other means of posting content to the platform apart from going live through Dualy's proactive moderation pipeline described below and, where enabled, saving that session as a recorded replay under Section 6.4. Dualy applies machine-learning models to actively screen frames of each live session for suspected violations of Section 9 before that content is broadcast to other users. If a suspected violation is detected, Dualy immediately terminates the stream and routes the session to a human moderator for review and final determination. Recorded replays and archives on a Creator's profile originate solely from sessions that have passed through this proactive pipeline.

Dualy also provides a viewer-facing reporting option. A viewer report triggers immediate human review together with enhanced, more sensitive AI detection capabilities applied to the reported content. Enforcement outcomes from either pathway are governed by Section 10, including the strike escalation set out in Section 10.4.

10. Suspensions

10.1 Temporary Suspension

Dualy may temporarily suspend a Creator's ability to host sessions, receive payouts, or access some or all platform features while it investigates a suspected violation of this Agreement, the Code of Conduct, or applicable law. Dualy will make reasonable efforts to notify the Creator of the reason for suspension, except where notice could compromise an investigation, involve legal or safety risk, or is otherwise inappropriate under the circumstances.

10.2 Permanent Removal

Dualy may permanently remove a Creator from the Creator Program and/or terminate their Dualy account for material or repeated violations of this Agreement or the Code of Conduct, for conduct that creates legal, safety, or reputational risk to Dualy, its users, or partners, or as otherwise permitted under this Agreement.

10.3 Loss of Monetization

Suspension or removal from the Creator Program results in immediate loss of access to Monetization Features. Earnings accrued prior to suspension for sessions or sales that were properly delivered remain payable, subject to Dualy's right to withhold amounts related to the conduct under investigation, pending chargebacks, or amounts otherwise subject to reversal under Sections 4 and 5. Earnings tied directly to the violation (for example, ticket sales for a fraudulent event) may be forfeited.

10.4 Strike Escalation for Acceptable Use Policy Violations

Violations of Section 9 (Community Standards & Acceptable Use Policy) identified through the moderation pipeline described in Section 9.7 are subject to the following escalation, applied on a rolling basis per account: (a) a first violation results in a warning, and the account is placed on a high-scrutiny list for enhanced proactive review; (b) a second consecutive violation results in a temporary restriction of seven (7) days, during which the account cannot host live sessions or, if applicable, receive payouts; and (c) a third violation results in permanent removal from the platform. For a free-tier account, permanent removal means the account is permanently banned. For a Creator account, permanent removal means both the account and the underlying verified identity on file under Section 1.3 are permanently banned, so that the same identity cannot be used to enroll a new paid Creator account. Dualy may bypass this escalation and proceed directly to temporary suspension or permanent removal under Sections 10.1 and 10.2 for severe violations, including those involving minors, credible threats of violence, or other conduct warranting immediate action.

11. Limitation of Liability

To the fullest extent permitted by applicable law: (a) Dualy provides the Creator Program and platform "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement; (b) Dualy will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or loss of data, arising out of or relating to this Agreement or the Creator Program, even if advised of the possibility of such damages; and (c) Dualy's total aggregate liability to a Creator for any claim arising out of or relating to this Agreement will not exceed the greater of (i) the total platform fees actually retained by Dualy from that Creator's earnings in the six (6) months preceding the claim, or (ii) one hundred dollars ($100 USD). Nothing in this Agreement limits liability that cannot be limited under applicable law, including liability for Dualy's fraud or willful misconduct.

12. Dispute Resolution

12.1 Arbitration

Except for claims that qualify for small-claims court or claims for injunctive relief to protect intellectual property or confidential information, any dispute arising out of or relating to this Agreement will be resolved by binding, individual arbitration administered by the American Arbitration Association (or a comparable recognized arbitral body in the Creator's region) under its applicable commercial or consumer arbitration rules then in effect. There is no right or authority for any dispute to be brought, heard, or arbitrated as a class, collective, or representative action, and the arbitrator may not consolidate more than one party's claims.

12.2 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except to the extent a Creator's local consumer-protection laws mandatorily apply and cannot be waived by contract.

12.3 Venue

For any matter not subject to arbitration under Section 12.1, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

13. Modifications

Dualy may modify this Agreement from time to time to reflect changes in its Monetization Features, legal or regulatory requirements, or business operations. Dualy will provide reasonable advance notice of material changes (currently, at least fourteen (14) days) via in-app notification, email to the address on file, or posting on the Creator Dashboard. Continued participation in the Creator Program after the effective date of a change constitutes acceptance of the revised Agreement. If a Creator does not agree to a material change, their sole remedy is to stop participating in the Creator Program before the change takes effect.

14. Acceptance

By clicking "I Agree," completing Creator Program enrollment, or otherwise accessing Monetization Features, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the Code of Conduct. Electronic acceptance has the same legal force and effect as a handwritten signature. Dualy will retain a timestamped record of your acceptance, including the version of the Agreement accepted, for the duration of your participation in the Creator Program and thereafter as required by law.
